Welcome to BlockSettler. These Terms of Service ("Terms") govern your access to and use of BlockSettler's stablecoin payment infrastructure, dashboard, APIs, and related services (collectively, the "Services") provided by BlockSettler ("we", "us", "our").
1. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Services. The Services are intended for businesses; you must comply with all applicable laws and regulations, including KYC/AML requirements in your jurisdiction.
3. Account Registration
You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are responsible for safeguarding your credentials, including API access keys and secret keys. Any activity under your account is your responsibility.
4. Service Description
BlockSettler provides infrastructure for accepting USDT/USDC stablecoin payments on supported blockchains (Polygon, Tron, Ethereum, BSC, Solana). We do not custody merchant funds; payments settle directly to merchant-controlled wallet addresses via T+0 settlement.
5. Fees and Billing
Fees are described on our Pricing page and may be updated with prior notice. By using the Services, you authorize BlockSettler to charge applicable fees from settled transactions. Network gas fees are paid by the payer, not BlockSettler or the merchant.
6. Prohibited Activities
You agree not to use the Services for:
- Any unlawful activity or violation of applicable financial regulations
- Money laundering, terrorist financing, or sanctions evasion
- Activities prohibited under our Acceptable Use Policy (gambling, adult content, weapons, controlled substances, etc., where prohibited)
- Reverse-engineering, scraping, or abusing API rate limits
- Misrepresenting your identity or business
7. API Access and Security
You are responsible for the security of your Secret Key. Never expose Secret Keys in client-side code. All requests must be signed with HMAC-SHA256 as documented. BlockSettler may suspend or revoke API access in case of suspected abuse, security incidents, or violation of these Terms.
8. Webhooks and Reliability
Webhook notifications are delivered with best-effort retry (up to 6 attempts with exponential backoff). You are responsible for implementing idempotent processing using event_id and verifying the X-BS-Signature header.
9. Intellectual Property
BlockSettler retains all rights, title, and interest in the Services, including all software, documentation, and trademarks. You receive a limited, non-exclusive, non-transferable license to use the Services per these Terms.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. BLOCKSETTLER DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION. BLOCKCHAIN TRANSACTIONS ARE IRREVERSIBLE; YOU ACKNOWLEDGE THE RISKS OF CRYPTOCURRENCY VOLATILITY AND NETWORK CONGESTION.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOCKSETTLER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
12. Indemnification
You agree to indemnify and hold harmless BlockSettler from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.
13. Termination
Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately for material breach, security risk, or legal compliance reasons. Sections 7-15 survive termination.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email or in-product notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of [Jurisdiction TBD]. Any disputes shall be resolved through arbitration in [Venue TBD], except where prohibited by applicable law.
